GENERAL TERMS AND CONDITIONS OF SALE OF ITALIAN WINE SELECTION.COM™
1 Introduction and Acceptance of the General Terms and Conditions of Sale
These general terms and conditions of contract, hereinafter also referred to as the "General Terms and Conditions", govern the offer by ARORUA 1962 S.R.L., hereinafter also referred to as "IWS.com™", of products on www.ITALIANWINESELECTION.COM, hereinafter also referred to as the "Website". The General Terms and Conditions must be accepted by the User upon registration on the Website in order to benefit from the offers available there and to proceed with the purchase of products. IWS.com™ reserves the right to amend the General Terms and Conditions, in whole or in part, at any time, by notifying Users through the Website with at least 30 days’ notice, where the methods of use of the products and services offered have changed. Users are therefore required to consult this page periodically in order to stay informed about the applicable conditions. It is understood that continued use of the Website after such changes shall constitute tacit acceptance of the same.
2 Ownership of the Website - Type of Offers
The Website is owned by ARORUA 1962 S.R.L., with registered office in Sorrento, Italy, 80067, Piazza Tasso 10-11, Tax Code 09440361211 and VAT No. IT09440361211, Naples Companies Register No. 1032341. The name "Italian wine selection ENOTECA ON LINE" is a trademark registered by DIBREMANA, Trademark No. 0001524495. The products available on the Website are sold directly by IWS.com™, also in the form of drop-shipping, hereinafter also referred to as "Direct Sale", or by commercial partners, hereinafter also referred to as "Partners", of Italianwineselection.com™. Unless otherwise specified on the product detail page, the products shall be understood to be sold directly by IWS.com™. Conversely, in the case of products sold by a Partner, IWS.com™ provides a mere intermediation service, hereinafter also referred to as "Intermediated Sale", and acts in the name and on behalf of the Partner, remaining entirely unrelated to the relationship and therefore to the sales contracts entered into between the User and the Partner. Products may be sold both through a permanent catalogue and through "flash-deal" formulas, namely promotions where product availability is subject to quantity and/or time limits. The product offer concerns the categories of food, alcoholic beverages and accessories, including wines, sparkling wines, beers, rum, grappa, other spirits and distillates, coffee, packaged products such as sauces, honey, canned meat and other food products and accessories for preparing, consuming or storing food. Following a purchase transaction, IWS.com™ will issue the User an order confirmation and, in the case of Intermediated Sale, indicate any Partner responsible for shipping the goods.
3 Registration on the Website
The Website is intended exclusively for Users who are at least 18 years of age. Browsing and use of the services offered within the Website are made accessible following registration. Registration is free of charge. Users registering on the Website must provide certain personal data and follow all steps of the procedure, hereinafter also referred to as "Full Registration". Upon Full Registration, the User will be required to choose a Username and a Password, which the User undertakes not to transfer, even temporarily, to third parties and to keep with due care, diligence and confidentiality under their own responsibility, as these credentials are the only means of identifying the User and validating their access to the offers. The User is therefore informed that all actions carried out using said credentials shall be attributed to them and shall be binding upon them. The User is required to immediately inform IWS.com™ of any unauthorized or improper use of their login credentials or of any breaches by third parties. If IWS.com™ detects any breaches, it may, at its sole discretion, block access, permanently delete the information contained therein or refuse to open new Accounts for the same User. At any time, the User may update and/or modify or request the deletion of the information provided during Registration. In the event of a deletion request, however, IWS.com™ may temporarily retain all or part of such information solely for the purpose of executing any purchases made and/or completing accounting and tax procedures. Full Registration is required to purchase products and to access summary information relating to the activities carried out by the User on the Website, also referred to as the "Account". Partial Registration on the Website, hereinafter also referred to as "Partial Registration", is also permitted by entering only the User’s email address. Partial Registration allows the User solely to receive the newsletter and does not allow the purchase of products and/or services or the performance of other operations on the Website.
4 Offer Conditions
The offers made by IWS.com™ concern the purchase of goods at the prices indicated on the Website. IWS.com™ reserves the right not to process orders from persons other than "consumers" in accordance with its commercial policy. In any case, IWS.com™ does not sell alcoholic beverages to persons under 18 years of age. By submitting orders, the consumer guarantees that both the ordering party and, if different, the recipient of the goods are over 18 years of age. Prices are expressed in Euro and include VAT. Shipping costs may be fixed or variable, calculated according to the weight, number of selected items and/or delivery address of the goods. Shipping costs may also be included in the sale price of certain items or be free of charge if the total order amount exceeds a certain value or following a specific promotion. The User is always informed of the shipping costs before completing the purchase procedure and making payment. The images accompanying the information sheets of a product or offer may not be perfectly representative of its characteristics and may differ in color, size and accessory products shown in the image. All information supporting the purchase is to be understood as generic informational material only and therefore not necessarily referring to the actual characteristics of a specific offer. The validity of offers may be subject to quantity or time limitations, after which they may no longer be available. The validity date and/or available quantity of the offers are shown on the Website so that the User may be informed of them. IWS.com™ may modify, at any time and at its sole discretion, the duration or quantity of an offer, without prejudice to the fact that it will process orders placed while a given offer is valid. An offer may be published multiple times over time, also following agreements with the Partner or supplier of the goods. In some cases, the availability of a good may end after purchase: in such cases, IWS.com™, where the conditions are met, will refund the User. It is also possible that, for some offers of goods, a specific variant is not guaranteed and the User may be asked to specify one or more preferences at the time of purchase: in such circumstances, the User acknowledges that they may receive a product variant different from the one selected during purchase. In the case of promotional sales or flash-deal formulas as specified above, the full price indicated in the offer, the "crossed-out price", against which the discount applied by IWS.com™ is calculated, may correspond to: (i) the public list price indicated by the supplier; (ii) the results of market surveys. The methods for calculating the Crossed-Out Price vary from product to product. IWS.com™ may also provide a monthly subscription service, "Subscription Service", namely on a continuous basis following the User’s request to activate the service and until the User requests deactivation. The service provides, in exchange for payment by the User of the fee indicated on the Website, the supply and delivery of wine and/or products selected by IWS.com™ at its sole discretion from those included in the catalogue. Where provided on the Website, IWS.com™ may donate a percentage of the total order amount placed by the User to charity, allocating it to the organization disclosed from time to time on the Platform in accordance with the regulations adopted by such organization on charitable donations. By way of example only, IWS.com™ may donate such amounts to research institutions, hospitals, non-profit organizations and similar entities. In such cases, the User will be able to view the amount to be donated to charity before completing the order, on the cart summary page.
5 Purchase Procedure and Payment Methods
Having acknowledged the offer conditions, the User may complete the purchase by following the procedure on the Website. Before finalizing the purchase, a summary will be displayed showing the unit cost of the selected product and the total cost in the case of multiple quantities of the same item or different items. Any shipping, delivery or postal costs may be fixed or variable, calculated according to the weight of the goods, the number of selected items and/or the destination address indicated by the User during the purchase process. Shipping costs may also be included in the sale price of certain items or be free of charge if the total order amount exceeds a certain value or following a specific promotion. The User is always informed of the shipping costs before completing the purchase procedure and making payment. Once the purchase has been completed, the User must proceed with payment, which will be made to IWS.com™, both in the case of Direct Sale and Intermediated Sale. In the case of Intermediated Sale, IWS.com™ will receive payment in the name and on behalf of the Partner, while remaining unrelated to the relationship between the Partner and the User. Unless otherwise specified on the product detail page, the products shall in any case be understood to be sold directly by IWS.com™. Following successful payment, the User will receive a confirmation email containing information relating to the purchased offer. The email will also include a reference to these General Terms and Conditions of contract. The confirmation will include a summary of the delivery and billing address. The goods are shipped within the timeframes indicated in the order confirmation. Delivery times are also indicated before completing the purchase procedure in the cart summary or on the product page. Such information is indicative and does not represent a certain date, as it is not always possible to predict any delays caused by the courier appointed to deliver the goods to the Customer or other causes attributable to third parties or force majeure not attributable to IWS.com™. In the case of time-limited offers, or flash-deals, the goods may be shipped to the User after the offer has expired. In the absence of a confirmation email, the purchase shall not be deemed validly concluded. In such case, if the amount of the failed purchase is incorrectly charged to the User, the User must promptly notify IWS.com™ by sending an email to info@italianwineselection.com, in order to allow IWS.com™ to verify what happened and, if applicable, refund the amount paid. Unless otherwise specified or agreed with the User, the accepted payment methods are: credit card and prepaid cards of the Visa, Mastercard, Maestro, Postepay, American Express, Discover, Diners Club International and Pulse circuits, PayPal account, Apple Pay and bank transfer. IWS.com™ may, in some or all cases and at its sole discretion, offer the alternative payment method of cash on delivery, meaning payment in cash upon delivery of the goods. Unless otherwise specified in the offer terms, the amounts due are charged upon payment confirmation. In the case of bank transfer, upon order confirmation, the bank details, IBAN, transfer amount and order number will be indicated. Payment by bank transfer must be made within the terms possibly indicated and in any case no later than 2 days from order confirmation, after which it may no longer be possible to guarantee fulfillment of the goods: in this case, IWS.com™ will re-credit the sender, at no additional cost and by bank transfer, with any payment received after the deadline. In the case of a Subscription Service, the User authorizes IWS.com™ to periodically charge the fee to the credit or prepaid card. In this regard, the User declares and guarantees the availability of the amount necessary to pay the fee. If the User realizes that they have provided incorrect and/or incomplete information regarding their personal details or the shipping address of the goods, they must promptly communicate this within the order processing deadlines by sending an email to info@italianwineselection.com. In all cases, the User is solely responsible for any incorrect and/or incomplete personal details or delivery address provided, with the consequent possibility of losing the amount paid if the goods are delivered to unrelated third parties.
6 Transaction Security
IWS.com™ pays close attention to the security of its Users. IWS.com™ does not process or store payment instrument data, such as credit card numbers, which are processed and/or stored by the relevant payment service providers. Actual payment is made through protected and encrypted payment data entry fields served directly by the payment service provider. Only once the transaction has taken place does the banking service provider communicate the payment outcome to IWS.com™, without providing any sensitive information. For this reason, IWS.com™ has no control over any refusal of the credit card used for payment. IWS.com™ therefore cannot be held liable in any way for direct or indirect consequences arising from the User’s use of a credit card to pay for the purchased products and/or services. Browsing on Italianwineselection.com™ is protected and encrypted through a security certificate.
7 Coupons
IWS.com™ may issue discount codes, hereinafter also referred to as "Coupons", which the User may use when purchasing products. Coupons are issued in the form of an alphanumeric code and their value, in Euro, is established solely and at the complete discretion of IWS.com™. The Coupon may be entered by the User in the appropriate "Coupon" field when placing the order. The Coupon thus entered will be automatically deducted, before payment, from the total order amount excluding any shipping costs. Percentage discount Coupons do not apply to products already on promotion. Coupons can generally be used by the User for a limited period of time, after which they can no longer be used. The Coupon may be subject to a minimum spending amount below which it cannot be used. Unless otherwise specified, the Coupon is personal and linked to the User’s Account and may be used for a single purchase, after which it will be automatically invalidated. Coupons cannot be combined. Coupons may not be sold, assigned and/or transferred to third parties without the express authorization of IWS.com™. IWS.com™ reserves the right to cancel any previously issued Coupon, even before its expiry, without being required to justify the reason and without any right to compensation or indemnity. IWS.com™ may also issue Coupons to Users who invite acquaintances, friends and family members to view the Website offers and register on it. For this purpose, the Website provides certain features such as "Recommend to a friend", "Send an offer by email", "Share on Facebook", "Twitter" and other social networks. For each new invitee who purchases an offer within a specific period of time, IWS.com™ may grant the User a Coupon, the value of which will be determined from time to time at the discretion of IWS.com™, to be used on their Account for a subsequent purchase. IWS.com™ also reserves the right to delete Coupons issued to Users who misuse them, without notice and without any right to compensation or indemnity.
8 Shipping and Delivery
Italianwineselection.com™ and any of its Partners accept orders for delivery both within Italy, including islands, and abroad, specifically according to the tables shown on the Website. The goods are shipped within the maximum time possibly indicated in the offer conditions and, for time-limited offers, flash-deals, such period may start from the end of the offer itself. The goods are shipped within the timeframes indicated in the order confirmation. Delivery times may also be shown before completing the purchase process, in the cart summary or on the product page. Such information is indicative and does not represent a certain delivery date, as it is not always possible to predict any delays caused by the courier appointed to deliver the goods to the Customer. In any case, unless otherwise specified on the product page, IWS.com™ undertakes to deliver the goods within 10 working days from the order date and, on average, deliveries take place within 2 working days throughout Italy, except for the islands where average delivery times are 3-5 working days; for deliveries outside Italy, delivery times depend on the conditions of the respective primary couriers selected from time to time for the shipment. In the remote event that the goods become unavailable for any reason after receipt of the order, any payment received will be refunded at no cost to the User. The User may be informed by email when the product is shipped by IWS.com™, both in the case of Direct Sale and Intermediated Sale; in the latter case, this will occur when the Partner informs IWS.com™ that the shipment has taken place. The User will be provided, where available, with the name of the courier and the shipment tracking code, through which it will be possible to follow the delivery status. This information, where available, will also be visible within the User Account. IWS.com™ cannot guarantee that multiple products purchased at the same time will be delivered in a single shipment, nor that any separate shipments will arrive at the destination at the same time. Offers may in fact refer to products supplied by different Partners and/or may not originate from a single centralized warehouse. It is not possible to guarantee a precise delivery date or time, as this depends on the courier, the destination address and the person responsible for delivery. IWS.com™ therefore cannot be held liable for any direct or indirect consequence arising from such delivery times. Unless otherwise specified during the purchase process, delivery of the ordered goods is understood to be at street level. In the case of bottle shipments, IWS.com™ uses patented packaging approved by the courier, designed to guarantee the integrity of the product. In any case, upon delivery of the goods by the courier, the User is required to check that the packaging is intact, not damaged or otherwise altered, including the sealing materials such as adhesive tape or straps, and that there is no liquid leakage. Any damage to the packaging and/or the product must be immediately disputed by the User by placing a written reservation of inspection, specifying the reason for the reservation, such as "Damaged packaging" or "Crushed packaging", on the courier’s delivery document. Once this document has been signed, the User may no longer raise any complaint regarding the characteristics of the delivered goods. Any issues concerning the physical integrity, correspondence or completeness of the products received must be reported within 3 days from delivery by sending an email to: info@italianwineselection.com or to the Partner’s email address, if any, indicated in the order confirmation and within the User Account. In the event of non-delivery of the goods within the indicated times, the User must notify IWS.com™, which will verify the shipment status and any anomaly with the Partner and/or directly with the courier. Following a shipping anomaly, such as a lost parcel or a parcel destroyed during transport, IWS.com™ will arrange, in the case of Direct Sale, or request, in the case of Direct Sale through drop shipping or Intermediated Sale, a new shipment of the product, subject to its availability in stock or at the Partner’s premises, without additional costs or charges for the User, or will fully refund the order in the case of Direct Sale, or ensure that the Partner, directly or through IWS.com™, proceeds with the refund in the case of Intermediated Sale.
9 Product Conformity Warranty
IWS.com™ operates diligently and in absolute good faith in selecting suppliers and Partners, also relying on more than twenty years of experience, verifying their actual suitability to supply the products in the quantities and according to the characteristics described in the purchase offers, without prejudice to the fact that IWS.com™ cannot be held liable for personal injury resulting from any breach by the manufacturers. In any case, IWS.com™ cannot guarantee the completeness of the information provided by the Supplier or Partner, nor the perfect correspondence between what is described in the product or offer page and the product actually delivered, nor the legitimacy of the Supplier’s or Partner’s use of images, videos and distinctive signs. The User is also aware that the images used in the offers may sometimes be merely indicative of the product and may not always faithfully represent the delivered product. In the case of Intermediated Sale, and therefore of products supplied directly by a Partner, the Partner shall be solely responsible for the conformity of the products under warranty. Any complaints must be sent directly to the Partner by email to the address contained in the purchase confirmation and also copied to info@italianwineselection.com. The Partner will indicate the methods for checking, repairing or replacing the goods, or will authorize IWS.com™ to issue a refund in favor of the User. In the case of Direct Sale, IWS.com™ shall be directly responsible for the conformity of the products under warranty. In the event of products found to be non-compliant, the User shall contact IWS.com™ by sending an email to: info@italianwineselection.com. IWS.com™ will indicate a repair center suitable for checking and repairing the goods under warranty or, once the anomaly has been directly verified, will proceed with repair or replacement, or issue a refund by crediting the original payment method used, or issue a Coupon equal to the amount of the purchased product. In any case, the legal warranty is reserved for consumers, meaning persons who have made a purchase on IWS.com™ for purposes unrelated to any business, commercial, craft or professional activity they may carry out.
10 Withdrawal
The User who requests a service for purposes unrelated to their professional activity has the right to withdraw from the purchase contract concluded with IWS.com™ or with the Partner without any penalty and without having to provide any reason, within 14 working days pursuant to and for the purposes of Article 52, paragraph 1 of the Italian Consumer Code, starting from the day of receipt of the product purchased on Italianwineselection.com™. The Customer may exercise the right of withdrawal, pursuant to Article 54, paragraph 1 of the Italian Consumer Code, by submitting any explicit statement of their decision to withdraw from the contract, to be sent either by registered letter with return receipt to ARORUA 1962 S.R.L., Piazza Tasso, 10-11, 80067 Sorrento (NA), or by email to info@italianwineselection.com, or, in the case of Intermediated Sale, also to the Partner’s email address indicated on the purchase confirmation page and also available in the User Account, copying IWS.com™. The registered letter with return receipt, email or fax must include the product and order number. The burden of proof regarding the correct exercise of the right of withdrawal, in accordance with the procedure indicated above, lies with the User. Following the proper exercise of the right of withdrawal, unless IWS.com™ or the Partner collects the goods directly, the User shall be responsible for returning the goods without undue delay and in any case within 14 days from the date on which the User communicated to IWS.com™ or to the Partner their decision to withdraw from the contract pursuant to Article 54, paragraph 4. The User must visibly apply to the packaging the document received from IWS.com™ following the withdrawal notice referred to above, which already indicates the shipping address and order details necessary to identify the return upon arrival. The User is advised to also place a copy of this document inside the packaging in order to avoid its loss or the inability to identify the return once it reaches the warehouse. The related shipping costs for the goods shall be borne by the User, unless IWS.com™ has failed to inform the User of this at the time of conclusion of the contract, in accordance with Article 57, paragraph 1 of the Italian Consumer Code. The goods must in any case be stored, handled and inspected with normal diligence and returned intact, complete in all their parts, together with all accessories and instruction sheets, identification tags and original labels, where present, still attached to the goods, intact and not tampered with, as well as perfectly suitable for their intended use and free from signs of wear or dirt. As provided for by Article 57, paragraph 2 of the Italian Consumer Code, the User is responsible for any decrease in value resulting from handling of the goods other than what is necessary to establish the nature, characteristics and functioning of the goods themselves. In such case, IWS.com™, after written notice to be sent to the User within 5 working days from receipt of the goods, may reduce the refund amount in proportion to such decrease in value, providing the User, if the refund has already been paid, with the bank details for payment of the amount owed by the User due to the decrease in value of the goods. IWS.com™ may refuse to accept a withdrawal for food products that have been consumed, even partially. Pursuant to Article 59 of the aforementioned Italian Consumer Code, goods made to measure or personalized, or goods which by their nature cannot be returned or are liable to deteriorate or expire rapidly, are excluded from the right of withdrawal.
11 Exceptions to the Right of Withdrawal
It is in any case understood that, with reference to services, the right of withdrawal may not be exercised by the User after the complete provision of the products by IWS.com™ if the provision began with the User’s express agreement and the User accepted the loss of the right of withdrawal following the full performance of the service by IWS.com™. In any case, pursuant to Article 59 of the Italian Consumer Code, goods made to measure or personalized, or goods which by their nature cannot be returned or are liable to deteriorate or expire rapidly, are excluded from the right of withdrawal.
12 Refunds
Any payment of sums as a refund by IWS.com™, where due, shall be made pursuant to Article 56, paragraph 1 of the Italian Consumer Code as soon as possible and, in any case, no later than 14 days from the date on which the event giving rise to the refund occurred and, in the case of withdrawal, from the day on which IWS.com became aware of the exercise of such right by the User. IWS.com™ will make the refund using the same payment method used by the User for the initial transaction, unless otherwise expressly agreed with the User and provided that the User does not incur any costs as a result of using a different payment method. If the User has expressly chosen a delivery method other than the standard delivery offered by IWS.com™ and involving higher delivery costs, "Additional Costs", IWS.com™ shall not be required to refund such Additional Costs. It is understood that, except in cases where IWS.com™ has decided to collect the goods directly, IWS.com™ may withhold the refund until it has received the goods or until the User has provided proof of having returned the goods, whichever occurs first.
13 Liability of IWS.com™
IWS.com™ shall not be liable for damages that may arise from the use of the Website, such as computer viruses, omissions, service interruptions and software failures, including damage to the User’s computer equipment, which prevent or delay the provision of services where these are due to external causes, force majeure and/or third parties beyond the control of the owner. IWS.com™ shall be liable only for any defects or non-conformities found in Direct Sale, while under no circumstances shall it be liable for any defects or non-conformities found in Intermediated Sale, for which only the Partner shall be liable towards the User. Consequently, the User is informed that in such situations they must address their complaints and act exclusively against the Partner. In any case, IWS.com™ and/or the Partner may under no circumstances be held liable for delays, defects or non-conformities resulting from events outside their reasonable control, including, by way of example only: (i) force majeure events; (ii) events caused by third parties, such as interruption or malfunction of telecommunications operators’ services and/or power lines, or acts or omissions by carriers or freight forwarders.
14 Industrial and Intellectual Property
Without prejudice to the limitation on the use of the Partners’ distinctive signs, IWS.com™ owns all rights relating to the graphic and conceptual content of the Website, as well as its own distinctive signs displayed therein. The reproduction, even partial, of the content and graphics of the Website, as well as of the distinctive signs displayed therein, is therefore prohibited. IWS.com™ also owns the technological platform used to manage the Website.
15 Privacy
Personal data are collected and processed in order to follow up on the User’s requests. IWS.com™ guarantees its Users that it operates in compliance with the legislation on the processing of personal data. The privacy policy is to be considered an integral and substantial part of these General Terms and Conditions and is accessible in the Privacy section of the Website. Upon Registration, the User may be asked to give their consent to receive commercial information, including by means of newsletters. In such case, the User shall be free to give or withhold consent.
16 Cookies
For the proper functioning of the Website, the use of Cookies is necessary. Cookies are used to obtain information about devices, operating systems, IP addresses and the type of browser used, in order to provide the User with a better browsing experience. These are generally statistical data and do not contain sensitive information. It is possible to refuse the use of Cookies by activating the option to disable them on the browser or device used. Further information on cookies is available in the Cookie Policy section of the Website.
17 Links to Third-Party Websites
The Website may contain links, in the form of hyperlinks or banners, to external and third-party websites. IWS.com™ does not exercise any control over such websites and assumes no responsibility for the accuracy, nature, quality and completeness of the information contained on third-party websites. The content of such websites does not represent products, services or information of IWS.com™.
18 Conciliation Procedure. Applicable Law and Competent Court
These General Terms and Conditions shall be governed in all respects by Italian law. For any dispute concerning the interpretation, execution and/or termination of the contract between the User and IWS.com™, in the case of Direct Sale, or between the User and the Partner in the case of Intermediated Sale, the Parties acknowledge that the Judge of the place of residence or domicile of the User shall have jurisdiction, if the User qualifies as a "consumer" under the applicable laws. If, on the other hand, the User is a professional, in the case of Direct Sale the Court of Torre Annunziata, Naples, shall have jurisdiction, while in the case of Intermediated Sale the competent court shall be the Court of the Partner’s place of domicile.
19 Alternative Dispute Resolution / Online Dispute Resolution and Netcomm Joint Conciliation
Italianwineselection.com™ informs the consumer User, pursuant to Article 141-sexies of the Italian Consumer Code, that if the User has submitted a complaint to Italianwineselection.com™ but is not satisfied with the outcome or has not received a response within 30 days, the User may initiate the joint conciliation procedure established by the Netcomm Consortium. The User can find more information about this procedure, as well as the link to the relevant regulation, at the following address: http://www.consorzionetcomm.it/Spazio_Consumatori/Conciliazione-Paritetica/Conciliazione-Paritetica.kl.
